Contract Specialist
KEY RESPONSIBILITIES
·Contract Document Preparation: Be responsible for the accurate and timely preparation, compilation, and issuance of comprehensive contract documents for major equipment, bulk materials, and services. This includes coordinating input from legal, finance, and engineering teams.
· Terms and Conditions: Establish, review, and maintain the standard set of terms and conditions for all procurement contracts, ensuring compliance with the internal procurement and finance company policy and legal standards.
· Tender Documents: Prepare the contractual sections of Request for Proposal (RFP) and Request for Quotation (RFQ) packages, ensuring clear delineation of commercial risks, liabilities, and scope.
·Contract Negotiation Support: Assist the Head of Procurement and negotiation teams by providing contractual advice and supporting the negotiation of key commercial terms with vendors and contractors.
· Risk Management: Review contract deviations and exceptions proposed by bidders, analyzing their commercial and legal impact and recommending mitigation strategies.
·Policy Adherence: Ensure all contracts and purchase orders strictly adhere to the company’s signature authority matrix, anti-corruption policies, and corporate governance standards.
· Change Management: Administer the contractual aspects of change management, ensuring all variations, claims, and change orders are processed and documented in accordance with the contract terms.
· Leadership Support: Function as a senior resource, supporting the Head of Procurement and the broader team in all complex contractual matters.
·Project Team Integration: Work effectively within the project team environment throughout the design and construction phases, translating project needs into clear, enforceable contractual language.
· Industry Experience (Advantageous): Experience with contract forms and risk profiles typical of mining, processing, and metallurgical projects, and prior experience contracting with international EPCM's and technology licensors like Tenova or Midrex is a significant asset.

Requirements:
PROFESSIONAL ATTRIBUTE
  • Bachelor’s degree in Business, Law, Engineering, or a related field. A legal qualification or certification in contract management (e.g., CCCM) is highly desirable.
  • A minimum of 5–8 years of dedicated experience in contract administration, preparation, and commercial management within an industrial, construction, or EPC/EPCM project environment.
  • Proven expertise in drafting, managing, and administering complex industrial contracts (equipment supply, construction services).
  • Deep understanding of contract law principles and commercial risk allocation in capital projects.
  • Fluency in English and Azerbaijani is mandatory. Proficiency in other languages such as Chinese (Mandarin) or Russian is a definite advantage due to the global nature of industrial supply.
Location: full-time in Baku, Azerbaijan but with business trips to required locations.
